Platform agreement

Summary

• You accept this agreement by registering a platform or submitting partner tools in the Oversine dashboard.
• Sign-ins and sign-ups on your platform may be completed by a user’s authorized AI agent. You agree to treat them as the user’s own actions, including the user’s acceptance of your terms.
• You will not treat an agent sign-in through Oversine as prohibited automation under your own terms. You may still decide what an agent-created account can do on your platform.
• You can tell us where your terms and privacy policy live. We link them on the consent page so users and their agents see them when they sign up.
• You receive a stable identifier and the profile claims you requested. Use them to provide your service, under your privacy policy, and nothing more.
• Oversine is free for platforms today. We will give 30 days’ notice before that changes.

This agreement

This agreement is between Oversine, Inc. (“Oversine”, “we”, “us”, or “our”), a Delaware corporation with its principal place of business at 2261 Market Street STE 68058, San Francisco, CA 94114, United States, and the person or organization operating a platform (“you”, “your platform”).

You accept it when you register a platform, or submit a partner integration, in the dashboard at https://auth.oversine.com/dashboard/platform. If you do so on behalf of a company or other organization, you confirm that you have authority to bind it, and “you” means that organization. The Oversine account you register with is the owner of the platform and remains subject to our terms of service; where the two conflict about your platform, this agreement controls.

In this agreement, a user is an Oversine account holder who signs in to your platform; an agent is an AI agent app the user has connected to Oversine and authorized to sign in for them; an agent sign-in is a sign-in or sign-up on your platform completed by an agent through Oversine.

What Oversine provides

• An OpenID Connect provider at https://auth.oversine.com, with discovery, authorization, token, userinfo, and end-session endpoints, and dynamic client registration and management for your platform’s client.
• The “Sign in with Oversine” button: the hosted script at https://auth.oversine.com/button.js, the @oversine/ui and @oversine/react packages, and the description text that tells agents how to sign in on your page.
• Agent sign-in. A user’s connected agent can complete a sign-in to your platform without the user at the keyboard, under a permission the user granted us in advance. Section Agent sign-ins covers what that means for you.
• The dashboard: your client credentials and settings, and aggregated sign-in counts for your platform.

We operate the service with reasonable care and skill but do not commit to a service level. We may change or retire features as the service develops and will give registered owners reasonable notice of changes that require you to alter your integration.

Agent sign-ins

Offering “Sign in with Oversine” means offering it to users’ agents as well as to users. This section is what makes that work for you.

How the user authorized the agent

Before an agent can sign in anywhere, its user has, in person and in a browser, created an Oversine account, connected the agent app, and granted it the sign-in permission on our consent page. Under our terms of service that grant appoints the agent as the user’s electronic agent for signing in and signing up on platforms that offer “Sign in with Oversine”, including accepting those platforms’ terms of service and privacy policies as part of signing up. The user agrees with us that the agent’s acts under that permission are attributed to them as their own. We record every approval the agent makes on the user’s account, and the user can revoke the permission at any time.

What you agree

• You accept agent sign-ins as sign-ins by the user. An account created on your platform by an agent sign-in is the user’s account, and your terms, privacy policy, and other conditions of having an account are accepted by the user through the agent when the sign-up completes.
• You will not treat an agent sign-in through Oversine, in itself, as unauthorized access, as a violation of a “no bots” or “no automated access” clause in your terms, or as grounds to suspend the user, and you will make your terms consistent with this where needed.
• You remain free to decide what an agent, or an account it created, may do on your platform once signed in: which features are available, what limits apply, and whether a person must complete particular steps. Apply those rules on your platform, after the sign-in, rather than by making the Oversine flow behave differently for agents.
• You may stop offering “Sign in with Oversine” at any time, which stops agent sign-ins along with everyone else’s.

Knowing it was an agent

If you request it, the ID token tells you that the sign-in was completed by an agent (the amr claim). Your dashboard shows how many of your sign-ins were by agents. Use this to apply your own policies; do not use it to deny a user the account they hold with you solely because they signed up through an agent.

Limits of the authorization

The permission a user grants us covers accounts and sign-ins. It does not authorize an agent to buy anything, start a paid plan, enter payment details, or accept agreements separate from having an account. If your subscription is not active, your platform is on the Basic plan. If you turn on automatic upgrade on the Basic plan, you authorize us to start a Pro subscription on your saved card at the moment your platform would otherwise exceed the Basic plan's monthly active users, charging the remainder of that month pro rata; you can turn it off at any time before that happens. You may cancel at any time from the billing page; the plan stays active until the end of the period you have paid for, and fees already paid are not refunded. If we change the price of a plan you are on, we will email registered owners at least 30 days before the change applies, and you may end this agreement before then without further charge.

Suspension and termination

You may end this agreement at any time by deleting your platform in the dashboard, which stops every sign-in to it immediately. We may suspend or terminate your platform or integration if you materially breach this agreement, if it is used to harm users or other platforms, if required by law, or if we discontinue the service. Except where the breach or a legal requirement prevents it, we will email the registered owner first and give you the chance to respond.

When this agreement ends, users can no longer sign in to your platform with Oversine. Accounts you created for them remain your accounts under your terms; the identifiers you hold stay valid as identifiers of those users. Your license to the button and our marks ends, and you must remove them from your platform within a reasonable time. Sections that by their nature should survive, including End-user data, Disclaimers, Limits on liability, Indemnity, and Governing law and disputes, survive termination.

Disclaimers

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that any particular identity claim is accurate beyond what Clerk verified, or that an agent sign-in reflects a current instruction from the user rather than the standing permission they granted. We do not control users, their agents, or agent apps.

Limits on liability

To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to this agreement, however caused and under any theory of liability.

Each party’s total liability to the other for all claims arising out of or relating to this agreement is limited to the greater of one thousand US dollars (USD 1,000) and the fees you paid us in the twelve months before the claim arose. This cap does not apply to your indemnity obligations, to either party’s breach of End-user data, to infringement of the other party’s intellectual property, or to liability that cannot be limited by law.

Indemnity

You will defend and indemnify Oversine and its officers, directors, and employees against third-party claims, and the resulting damages, costs, and reasonable attorneys’ fees, arising from your platform or partner tools, your terms and policies toward users, your use of data received through Oversine, or your breach of this agreement. We will notify you promptly of any such claim, let you control its defense and settlement (except that you may not admit fault on our behalf or bind us without our consent), and cooperate at your expense.

Governing law and disputes

This agreement is governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in San Francisco County, California, and both parties consent to their jurisdiction. Before starting any proceeding, please write to legal@oversine.com.

If any part of this agreement is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent, except to a successor of your platform who agrees to be bound by it; we may assign it in connection with a merger, acquisition, or sale of assets, and will tell you if we do. The parties are independent contractors. This agreement, together with the terms of service and privacy policy it references, is the entire agreement between you and us about your platform’s use of Oversine.

Changes to this agreement

When we change this agreement we update the effective date at the top. For material changes we will email registered platform owners at least 30 days before the change takes effect. Continuing to offer “Sign in with Oversine” or to publish tools after that date is acceptance of the new agreement; if you do not agree, delete your platform before then. Earlier versions are available on request.
